Discussions with the competition authorities have shown that the proposal would not have resulted in an agreement at this point in time. Both management boards will evaluate the discussions that took place and decide how antitrust requirements can be met. The experience garnered so far can be used to move forward in the merger process and to come to a reasonable solution.
From companies’ point of view, as well as for business and economic reasons, the merger between TÜV SÜD and TÜV Rheinland remains the right objective in order to utilize the existing potential in the inspection, testing and certification markets outside Germany in the face of strong international competition and to create jobs in Germany.
The due diligence checks and the consistently positive discussions between the companies have shown that a merger offers very high growth potential and is the right move strategically. Combining these two companies still offers the opportunity to create a powerful international business with a high export ratio in Germany that stands for the German values of security and quality.
The TÜV-companies have received a good deal of encouragement and approval from economic and political stakeholders for their effort to merge. All preliminary approvals by the relevant committees of the two associations and the groups were unanimous or no votes against the merger. These continue to be valid.
